Terms of Service

Spec Sheet Builder is a tool for trade professionals to create finish schedules and spec sheets, track allowances and selections, and share documents with clients. We may add, change, or remove features over time.

You must be at least 18 years old and able to enter into a binding contract to use the Service. The Service is intended for business and professional use.

You are responsible for your account, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly if you suspect unauthorized use. You agree to provide accurate information and to keep it current.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your business purposes. You may not copy, resell, reverse engineer, or attempt to access the Service in unauthorized ways.

The Service offers a free plan and paid subscription plans. Current plans and prices are:

• Free — $0/month
• Starter — $4.99/month
• Pro — $19.99/month
• Unlimited — $49.99/month

Paid plans are billed monthly in advance and renew automatically each month until canceled. There is no free trial. Plan features and limits — such as the number of projects, PDF watermarking, AI usage allowances, and the ability to send documents to clients — vary by plan and may be adjusted; material changes will be reflected in the Service.

Payments are processed by Stripe. By subscribing, you authorize us, through Stripe, to charge your payment method on a recurring monthly basis. You are responsible for any applicable taxes. We may change prices; if we do, we will give you reasonable notice and any change will apply to your next billing cycle.

You can cancel at any time through the Stripe customer portal linked in your account. When you cancel a paid plan, we will refund the unused portion of your current billing period on a prorated basis to your original payment method, and your account will return to the Free plan.

If you downgrade from a plan that includes client sharing, your active client share links will be disabled.

Except for the prorated refunds described above, payments are non-refundable, and we do not provide credits for unused features.

You retain ownership of the content you create and upload — your projects, spec items, branding, images, and the client and project information you enter ("Your Content"). You grant us a limited license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you, including generating documents, powering features you use, and delivering documents you choose to share.

You represent that you have the rights to the information you enter, including any information about your clients, and that your use of the Service complies with applicable law. With respect to your clients' information, you act as the controller and we act as a processor on your behalf.

The Service offers optional AI features that generate suggested spec content, item scaffolds, and allowance or budget benchmarks. AI output is automatically generated, may be inaccurate or incomplete, and is provided for convenience only. It is not professional, engineering, architectural, construction, code-compliance, or financial advice.

You are solely responsible for reviewing and independently verifying all specifications, quantities, products, dimensions, allowances, prices, and any other output before relying on it, sharing it with clients, or using it in a project. Do not rely on AI-generated estimates as a substitute for professional judgment, manufacturer specifications, or applicable codes and regulations.

You agree not to use the Service to:

• violate any law or infringe anyone's rights;
• upload malicious code or attempt to disrupt, overload, or gain unauthorized access to the Service or others' accounts;
• misuse or scrape the Service, or circumvent plan limits or security measures;
• store or share content you do not have the right to use; or
• use the Service in a way that harms us or other users.

We may suspend or terminate accounts that violate these Terms.

Plans that include client sharing let you create read-only links to your spec sheets. You control whether to create or revoke a link. You are responsible for who you share links with and for the information contained in shared documents.

The Service relies on third-party providers (including Supabase, Vercel, Stripe, Resend, Google, and Anthropic) to function. Your use of features that depend on these providers may also be subject to their terms. We are not responsible for third-party services we do not control.

We work to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. The Service includes offline functionality that syncs when you reconnect; we are not responsible for data loss arising from device issues, connectivity problems, or your failure to maintain a working connection for sync.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be accurate, or be free of errors or interruptions.

To the maximum extent permitted by law, Grup Holdings LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars.

You agree to indemnify and hold harmless Grup Holdings LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or the rights of others, including your clients.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination — including content ownership, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in North Carolina will have exclusive jurisdiction over any dispute relating to these Terms or the Service, and you consent to their jurisdiction and venue.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
